Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” include both you and that organization. If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

HousrAI Vitals is a software platform built for the affordable housing industry. It helps owners, developers, syndicators, lenders, housing finance agencies, and property managers monitor portfolio performance by ingesting financial and operating documents and producing analysis, scores, summaries, and other insights. The Service may evolve over time as we add, modify, or remove features. We may also offer certain features on a trial, beta, or preview basis, which may be changed or discontinued at any time.

3. Accounts and Eligibility

To use most features of the Service, you must register for an account. You agree to provide accurate and complete information when you register and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly if you suspect any unauthorized use of your account.

The Service is intended for business use by professionals who are at least eighteen years old. By using the Service, you represent that you meet these requirements. We may refuse, suspend, or terminate accounts at our discretion in accordance with these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You agree not to:

• use the Service in any way that violates the rights of others or any applicable law, including data protection, fair housing, and confidentiality laws;
• upload or submit data that you do not have the right to provide, or that infringes the intellectual property or privacy rights of any third party;
• attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, decompile, or disassemble any part of the Service, except to the extent that this restriction is prohibited by applicable law;
• use the Service to build or train a competing product or service, or copy any features or content of the Service for that purpose;
• introduce malware, scrape the Service, or use automated means to access it in a way that imposes an unreasonable load on our infrastructure; or
• access the Service through any interface other than the one we provide, except as expressly permitted by us.

5. Intellectual Property

The Service, including its software, design, user interface, models, documentation, and all content we provide, and all related intellectual property rights, are owned by HousrAI or our licensors and are protected by intellectual property and other laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term of your access.

These Terms do not grant you any right, title, or interest in the Service except for the limited rights expressly stated, and they do not grant you any rights to our trademarks, logos, or branding. We welcome feedback and suggestions about the Service, and you agree that we may use any feedback you provide without obligation to you.

6. Customer Data Ownership

As between you and HousrAI, you retain all right, title, and interest in the portfolio, financial, operating, and other data you or your organization submit to the Service (your “Customer Data”). You grant us a limited, non-exclusive license to host, process, transmit, and display your Customer Data solely to operate, maintain, and improve the Service and to deliver the analysis and insights you request. We do not sell your Customer Data, and we do not use it to train publicly available or third-party general-purpose AI models.

You are responsible for the accuracy, quality, and legality of your Customer Data and for ensuring that you have the rights necessary to submit it to the Service. Our handling of personal information within your Customer Data is described in our Privacy Policy.

7. Confidentiality

Each party may have access to information of the other party that is marked confidential or that should reasonably be understood to be confidential given its nature and the circumstances of disclosure (“Confidential Information”). Your Customer Data is your Confidential Information, and the non-public aspects of the Service are our Confidential Information. Each party agrees to protect the other party’s Confidential Information using at least the same degree of care it uses to protect its own confidential information, and not to use or disclose it except as permitted under these Terms or as required by law.

8. Disclaimers of Warranties

The Service and the analysis, scores, summaries, and insights it generates are provided for informational purposes only and do not constitute financial, legal, accounting, investment, tax, or other professional advice. You are responsible for the decisions you make based on the Service, and you should consult qualified professionals before acting on any output.

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate or complete.

9. Limitation of Liability

To the fullest extent permitted by law, HousrAI and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of HousrAI arising out of or related to these Terms or the Service will not exceed the greater of the amounts you paid to us for the Service during the twelve months immediately preceding the event giving rise to the claim, or one hundred United States dollars. These limitations apply regardless of the theory of liability and are a fundamental basis of the bargain between you and us.

10. Indemnification

You agree to indemnify, defend, and hold harmless HousrAI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party. We will provide you with reasonable notice of any such claim and may participate in its defense.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, if you violate these Terms, if we reasonably believe that your use poses a security or legal risk, or if we discontinue the Service. We will make reasonable efforts to provide notice where appropriate.

Upon termination, your right to access and use the Service will cease. Following termination, we will handle your Customer Data in accordance with our data retention practices and applicable law. Any provisions of these Terms that by their nature should survive termination, including provisions on ownership, confidentiality, disclaimers, limitation of liability, and indemnification, will continue to apply.

12. Governing Law

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. You agree that the state and federal courts located in Maryland will have exclusive jurisdiction over any dispute that is not subject to another agreed dispute resolution process, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any mandatory consumer protections that may apply to you under the laws of your place of residence.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice through the Service or by other means. Your continued use of the Service after the updated Terms take effect means you accept the revised Terms. If you do not agree to the changes, you should stop using the Service.
